TrimQuote Payments Terms

These TrimQuote Payments Terms (“Payments Terms”) govern your access to and use of TrimQuote Payments.

These Payments Terms supplement the TrimQuote Terms of Service. If there is a conflict between these Payments Terms and the TrimQuote Terms of Service concerning TrimQuote Payments, these Payments Terms control for that payment-specific matter.

TrimQuote is operated by Brian Bible, a sole proprietor doing business under the TrimQuote trade name (“TrimQuote,” “we,” “us,” or “our”).

By enabling or using TrimQuote Payments, you agree to these Payments Terms.

You must also agree to the applicable agreements presented by Stripe as part of Stripe account onboarding and use.

1. What TrimQuote Payments Is

TrimQuote Payments allows eligible TrimQuote customers to request and accept payments from their own customers using payment-processing and connected-account services provided by Stripe.

TrimQuote provides the software integration, payment workflow, application interface, transaction records, and related functionality.

Stripe provides the underlying payment-processing and connected-account services.

TrimQuote is not a bank, card network, or payment processor.

2. Your Relationship With Your Customers

You remain the seller or service provider in transactions with your customers.

TrimQuote is not a party to the underlying transaction between your business and your customer.

You are responsible for:

  • the goods or services you sell;

  • the quality and delivery of those goods or services;

  • the accuracy of invoices and payment requests;

  • your pricing;

  • customer service;

  • warranties or guarantees you offer;

  • fulfillment of your obligations to customers;

  • determining whether a customer refund should be issued;

  • applicable taxes; and

  • complying with laws and regulations applicable to your business and transactions.

TrimQuote does not guarantee that a customer will pay an invoice or that a completed payment will not later be subject to a refund, dispute, chargeback, reversal, or other adjustment.

3. Stripe Connected Account

To use TrimQuote Payments, you must complete Stripe’s connected-account onboarding process.

TrimQuote currently creates a Stripe Connect Express connected account for an eligible participating organization.

Onboarding is completed through Stripe-hosted onboarding.

Stripe may require information concerning your:

  • business;

  • identity;

  • ownership;

  • representatives;

  • tax information;

  • banking information;

  • products or services; or

  • other information Stripe requires to provide its services.

You agree to provide Stripe with accurate and complete information and to maintain that information as required.

Stripe may approve, restrict, suspend, reject, or otherwise limit your connected account or particular capabilities.

TrimQuote does not control Stripe’s independent verification or eligibility decisions.

4. Stripe Agreements

Your use of Stripe services is separately governed by the applicable agreements between you and Stripe, including the agreement Stripe presents as part of connected-account onboarding.

Those Stripe agreements govern Stripe’s provision of its services to you.

These Payments Terms govern your relationship with TrimQuote concerning the TrimQuote Payments platform and integration.

Nothing in these Payments Terms modifies Stripe’s independent contractual relationship with you.

5. Authorization for TrimQuote to Act on Your Connected Account

By enabling TrimQuote Payments, you authorize TrimQuote to use Stripe Connect to perform activity reasonably necessary to provide TrimQuote Payments.

That activity currently includes:

  • creating a Stripe Connect Express connected account for your TrimQuote organization;

  • creating Stripe-hosted onboarding links;

  • retrieving and synchronizing connected-account status;

  • retrieving payment-capability and payout-capability status;

  • determining whether your connected account is ready to accept payments through TrimQuote;

  • creating Stripe Checkout Sessions on your connected account;

  • initiating customer payment transactions through Stripe Checkout when requested through TrimQuote;

  • requesting customer refunds that an authorized user initiates through TrimQuote;

  • reconciling payments, refunds, application fees, and account events received from Stripe;

  • collecting TrimQuote application fees from eligible transactions;

  • refunding TrimQuote application fees where required under the application-fee refund policy in these Payments Terms; and

  • maintaining transaction records necessary to reconcile TrimQuote invoices and payment activity.

You authorize TrimQuote to perform these activities through Stripe Connect on behalf of your organization.

TrimQuote will not intentionally use your connected account to perform payment activity unrelated to providing TrimQuote Payments.

6. Connected Account Data

To provide TrimQuote Payments, TrimQuote may access, receive, process, transmit, and store information relating to your Stripe connected account and payment activity.

This may include:

  • your Stripe connected-account identifier;

  • connected-account status;

  • charges-enabled status;

  • payouts-enabled status;

  • onboarding status;

  • capability information;

  • Stripe account requirements;

  • Checkout Session identifiers;

  • PaymentIntent identifiers;

  • Charge identifiers;

  • Application Fee identifiers;

  • Refund identifiers;

  • transaction amounts;

  • refund amounts;

  • currency;

  • payment status;

  • refund status;

  • application-fee amounts;

  • associated TrimQuote invoice identifiers;

  • associated TrimQuote payment-request identifiers; and

  • customer information reasonably necessary to create or reconcile a transaction.

You authorize TrimQuote to access and use this information as reasonably necessary to provide, secure, support, reconcile, and operate TrimQuote Payments.

You also authorize TrimQuote to provide information to Stripe where reasonably necessary for Stripe to provide the connected-account and payment-processing services that you request through TrimQuote.

Additional information about TrimQuote’s handling of personal information is provided in the TrimQuote Privacy Policy.

7. Payment Card and Bank Information

Customer card entry occurs through Stripe-hosted payment pages.

TrimQuote does not intentionally collect or store:

  • full card numbers;

  • card security codes such as CVC or CVV;

  • full bank account numbers used for Stripe payouts; or

  • bank routing numbers used for Stripe payouts.

Stripe may collect, process, and store payment credentials and banking information under Stripe’s own agreements, systems, and privacy practices.

You should not enter full card numbers, card-security codes, or similar sensitive payment credentials into ordinary TrimQuote text fields, notes, descriptions, or uploads.

8. Direct Charges

TrimQuote Payments currently uses a Stripe Connect direct-charge model.

Payments initiated through TrimQuote are created on your connected Stripe account.

Your customer is charged the amount shown in the applicable Stripe Checkout payment request.

The customer’s payment principal is associated with your connected Stripe account rather than being collected by TrimQuote as the seller of your services.

TrimQuote receives its application fee separately through the Stripe Connect transaction.

9. TrimQuote Application Fee

TrimQuote charges a transaction-based application fee when eligible customer payments are processed through TrimQuote Payments.

The current TrimQuote application fee is:

0.75% of the customer payment amount, with a minimum application fee of $0.25 per payment.

There is currently no maximum application-fee cap.

The TrimQuote application fee is charged to the participating business.

It is not added on top of the amount charged to your customer.

TrimQuote does not currently provide a customer-surcharge feature for the TrimQuote application fee.

10. Disclosure and Changes to TrimQuote Fees

TrimQuote will clearly disclose the applicable TrimQuote Payments application fee.

TrimQuote may change the application-fee structure prospectively.

If TrimQuote changes the application fee, we will provide reasonable notice before the new fee applies to future eligible transactions.

A prospective fee change does not retroactively alter the application-fee amount recorded for a previously processed transaction.

11. Stripe Processing Fees

Stripe’s processing fees are separate from TrimQuote’s application fee.

Stripe determines the fees it charges under its applicable pricing, agreements, account configuration, and payment-method rules.

TrimQuote does not set or guarantee a universal Stripe processing rate.

Stripe’s fees may change independently of TrimQuote.

You are responsible for reviewing Stripe’s applicable pricing and agreements.

12. TrimQuote Subscription Charges

TrimQuote Payments application fees are separate from TrimQuote software subscription charges.

TrimQuote Payments does not currently require a separate higher-priced TrimQuote subscription tier solely because you use TrimQuote Payments.

Your regular TrimQuote software subscription remains governed by the TrimQuote Terms of Service, applicable subscription checkout terms, and the TrimQuote Refund Policy.

Use of TrimQuote Payments may result in the transaction-based application fees described in these Payments Terms.

13. Creating and Sending Payment Requests

You control when a TrimQuote Payments payment request is created or sent to a customer.

You are responsible for confirming:

  • the correct customer;

  • the correct invoice;

  • the amount requested;

  • the customer’s contact information; and

  • that collection of the amount is legitimate and appropriate.

TrimQuote may provide tools for sending a payment link to your customer.

The customer completes payment on Stripe’s hosted Checkout page.

14. Authoritative Payment Status

A transaction is not treated as successfully paid merely because a customer:

  • opens a payment link;

  • completes a browser redirect;

  • returns from Stripe Checkout; or

  • views a payment-success page.

TrimQuote relies on authoritative payment information received from Stripe and the TrimQuote payment-settlement process to determine payment status.

15. Application of Customer Payments to TrimQuote Invoices

When an eligible Stripe payment is successfully confirmed and settled through TrimQuote, the gross customer payment amount may be applied to the corresponding TrimQuote invoice.

The TrimQuote application fee is not deducted from the customer-payment amount credited against the invoice balance.

TrimQuote records the application fee separately from the gross customer payment.

16. Payouts

Stripe provides payout functionality associated with your connected account.

TrimQuote does not currently:

  • initiate payouts;

  • set your payout schedule;

  • control when Stripe sends funds to your bank;

  • edit your payout bank information; or

  • guarantee payout timing.

TrimQuote may display information received from Stripe indicating whether payouts are currently enabled.

A status indicating that payouts are enabled is not a guarantee that a particular payout will arrive by a specific date.

Payout timing and availability may depend on Stripe, your connected-account status, banking institutions, payment methods, reserves, risk controls, and other factors outside TrimQuote’s control.

17. Customer Refunds

Authorized users of your TrimQuote organization may initiate eligible customer refunds through TrimQuote Payments.

When an eligible refund is submitted through TrimQuote:

  • TrimQuote requests the customer refund through Stripe on your connected account;

  • the customer refund may be full or partial;

  • the refund cannot exceed the remaining refundable amount associated with the original customer payment; and

  • TrimQuote records and reconciles refund status.

A refund request may be pending, fail, require reconciliation, or otherwise be subject to Stripe’s processing.

TrimQuote does not guarantee that a refund will complete immediately.

TrimQuote also does not control how long the customer’s card issuer or financial institution takes to display returned funds.

18. Application-Fee Refund Policy

TrimQuote applies the following application-fee refund policy to eligible customer refunds.

Full customer refund

If the refundable customer principal associated with the original TrimQuote Payments transaction is refunded in full, TrimQuote returns the full original TrimQuote application fee associated with that payment.

Partial customer refund

If only part of the original customer payment is refunded, TrimQuote returns a proportional portion of the original TrimQuote application fee.

TrimQuote calculates the proportional application-fee return using the original fee and the amount of customer principal refunded.

19. Refunds Initiated Outside TrimQuote

A shop may in some circumstances initiate or modify payment activity directly through Stripe.

TrimQuote may receive Stripe webhook information concerning eligible refunds initiated outside the TrimQuote application.

Where supported by the current integration, TrimQuote attempts to reconcile those refunds with the associated TrimQuote payment records and the applicable TrimQuote application-fee refund state.

External Stripe activity may take time to appear or reconcile within TrimQuote.

20. Stripe Processing Fees on Refunds

The return of a TrimQuote application fee does not mean that Stripe’s processing fees are also returned.

Stripe determines the treatment of its own processing fees under Stripe’s current agreements, pricing, and policies.

TrimQuote does not control Stripe’s processing-fee refund policy.

21. Refund Authority and Responsibility

You are responsible for deciding whether a customer refund is appropriate.

TrimQuote may limit the ability to initiate refunds to users with appropriate financial permissions within your TrimQuote organization.

You may not use refund functionality:

  • fraudulently;

  • without proper authority;

  • to manipulate transaction or application-fee records;

  • to conceal prohibited activity; or

  • for transactions unrelated to legitimate customer payments.

22. Offline Payments

TrimQuote may allow you to record payments received outside TrimQuote Payments, including payments such as:

  • cash;

  • check;

  • bank transfer;

  • external card-terminal payment; or

  • another manually received payment.

Recording an offline payment updates TrimQuote bookkeeping records only.

It does not:

  • charge your customer;

  • create a Stripe transaction;

  • create a Stripe Checkout Session;

  • move funds; or

  • cause Stripe to process that transaction.

You are responsible for ensuring that an offline payment record corresponds to funds actually received.

23. Voids

TrimQuote may allow certain locally recorded payments to be marked Void.

A local Void is a TrimQuote bookkeeping action.

Voiding an eligible locally recorded payment may:

  • mark the record as void;

  • preserve the record in payment history;

  • remove it from completed-payment totals; and

  • cause the related TrimQuote invoice balance or status to be recalculated.

A local Void does not:

  • refund your customer;

  • initiate a Stripe refund;

  • reverse money through Stripe; or

  • return a TrimQuote application fee associated with a Stripe payment.

Processor-backed TrimQuote Payments transactions are not locally voided through this bookkeeping action.

Eligible Stripe-backed customer payments must use the applicable refund workflow.

24. Disputes and Chargebacks

A customer, card issuer, payment network, or other payment-method provider may dispute or reverse a transaction.

TrimQuote does not currently provide an in-app dispute-management or evidence-submission system.

You are responsible for monitoring communications and information made available by Stripe concerning:

  • disputes;

  • chargebacks;

  • evidence deadlines;

  • requests for information;

  • account restrictions; and

  • other processor matters requiring your attention.

Stripe determines dispute procedures, deadlines, outcomes, and applicable processor actions under Stripe’s agreements and payment-network rules.

TrimQuote does not guarantee the outcome of any dispute or chargeback.

25. Dispute Fees, Debits, and Negative Balances

Refunds, disputes, reversals, Stripe fees, reserves, or other processor adjustments may affect your Stripe connected-account balance.

Stripe determines how those amounts are handled under its applicable agreements, connected-account configuration, risk model, and payment-network rules.

TrimQuote does not guarantee that your Stripe connected account will maintain a positive balance.

You remain responsible for obligations Stripe assigns to you under your agreements with Stripe.

26. Taxes

TrimQuote Payments does not determine all tax obligations associated with your customer transactions.

You are responsible for determining:

  • whether tax applies;

  • the applicable rate;

  • whether tax must be collected;

  • reporting requirements;

  • remittance requirements; and

  • any other tax obligations associated with your business.

TrimQuote does not provide tax advice.

27. Payment Records and Reconciliation

TrimQuote may preserve transaction records relating to:

  • customer payments;

  • refunds;

  • application fees;

  • fee refunds;

  • payment status;

  • Stripe identifiers;

  • invoice settlement;

  • reconciliation; and

  • related activity.

These records may remain after a transaction is completed, refunded, failed, voided, restricted, or otherwise adjusted where reasonably necessary for:

  • bookkeeping;

  • reconciliation;

  • audit history;

  • security;

  • fraud prevention;

  • customer support;

  • legal obligations; or

  • enforcement of these Payments Terms.

28. Account Readiness and Restrictions

TrimQuote Payments requires a Stripe connected account that satisfies the readiness conditions supported by TrimQuote.

If Stripe:

  • disables charges;

  • disables payouts;

  • requires additional verification;

  • restricts account capabilities;

  • rejects the connected account;

  • disconnects or restricts the account; or

  • otherwise prevents payment activity,

TrimQuote may prevent creation of new payment requests or Stripe Checkout Sessions until the account again satisfies applicable requirements.

TrimQuote does not control Stripe’s independent account decisions.

29. Disconnection and Loss of Stripe Access

Restriction or termination of your connected-account relationship may prevent TrimQuote from performing future activity through Stripe Connect.

Historical TrimQuote transaction records may remain available subject to TrimQuote’s retention practices and Privacy Policy.

TrimQuote does not guarantee that live Stripe data will remain accessible to TrimQuote after Stripe-side access is restricted or terminated.

Termination or restriction does not eliminate obligations arising from transactions that occurred before the restriction or termination.

30. Prohibited Payment Activity

You may not use TrimQuote Payments:

  • for unlawful transactions;

  • for fraudulent or deceptive transactions;

  • for goods or services prohibited by Stripe;

  • to process transactions unrelated to your legitimate business;

  • to evade Stripe requirements or payment-network rules;

  • to misuse another person’s payment information;

  • to conceal the true nature of a transaction;

  • to artificially manipulate payment volume, application fees, refunds, or account status;

  • for sham transactions; or

  • in violation of applicable law, Stripe agreements, these Payments Terms, or the TrimQuote Terms of Service.

TrimQuote may restrict TrimQuote Payments when reasonably necessary to address suspected fraud, abuse, legal violations, security risk, processor requirements, or prohibited activity.

31. Stripe Service Changes

Stripe may independently change:

  • its services;

  • pricing;

  • account requirements;

  • onboarding procedures;

  • verification requirements;

  • capabilities;

  • supported payment methods;

  • payout procedures;

  • dispute procedures; or

  • other aspects of its services.

TrimQuote may modify TrimQuote Payments when reasonably necessary to remain compatible with Stripe or comply with applicable requirements.

TrimQuote does not guarantee permanent availability of any particular Stripe capability.

32. Suspension of TrimQuote Payments

TrimQuote may suspend or restrict access to TrimQuote Payments when reasonably necessary because of:

  • connected-account restrictions;

  • suspected fraud;

  • security risk;

  • prohibited activity;

  • violation of these Payments Terms;

  • Stripe requirements;

  • technical failures;

  • legal obligations; or

  • payment-system risk.

Suspension of TrimQuote Payments does not necessarily cancel or terminate your general TrimQuote software subscription.

33. No Guarantee of Payment

TrimQuote does not guarantee:

  • that a customer payment will be approved;

  • authorization of a transaction;

  • settlement;

  • payout timing;

  • refund success;

  • dispute outcomes;

  • continued availability of a payment method;

  • continued Stripe eligibility; or

  • uninterrupted payment processing.

Such decisions and processes may depend on Stripe, banks, card networks, financial institutions, customers, or other third parties.

34. Privacy and Security

TrimQuote processes payment-related information in accordance with the TrimQuote Privacy Policy and these Payments Terms.

Stripe separately processes information under Stripe’s applicable agreements and privacy practices.

You are responsible for using payment-related customer information only for legitimate business purposes and in compliance with applicable privacy and data-protection requirements.

35. Changes to These Payments Terms

TrimQuote may update these Payments Terms when:

  • TrimQuote Payments functionality changes;

  • Stripe requirements change;

  • applicable law changes;

  • security or risk requirements change; or

  • business or operational requirements reasonably require an update.

The current version will identify its effective and last-updated date.

Material changes will be communicated through reasonable means where required.

Changes to TrimQuote application fees will apply prospectively as described in these Payments Terms.

36. Relationship to the TrimQuote Terms of Service

These Payments Terms supplement the TrimQuote Terms of Service.

The TrimQuote Terms of Service continue to apply to your use of TrimQuote generally.

If these Payments Terms conflict with the TrimQuote Terms of Service concerning a TrimQuote Payments-specific matter, these Payments Terms control for that matter.

37. Disclaimers and Limitation of Liability

The disclaimers and limitation-of-liability provisions contained in the TrimQuote Terms of Service apply to TrimQuote Payments to the maximum extent permitted by law.

Without limiting those provisions, TrimQuote is not responsible for losses caused solely by:

  • Stripe’s independent decisions;

  • payment-network rules;

  • banks or financial institutions;

  • customer disputes;

  • payment declines;

  • payout delays controlled by Stripe or financial institutions;

  • inaccurate information supplied by you;

  • your failure to satisfy Stripe requirements; or

  • goods or services you provide to customers.

Nothing in these Payments Terms excludes or limits liability where applicable law does not permit exclusion or limitation.

38. Indemnification

The indemnification provisions contained in the TrimQuote Terms of Service apply to your use of TrimQuote Payments.

To the extent permitted by law, this includes third-party claims arising from:

  • goods or services you sell;

  • your transactions with customers;

  • inaccurate or unauthorized payment requests;

  • unauthorized refunds;

  • fraud or misuse by you or your authorized users;

  • your violation of applicable payment laws or Stripe requirements; or

  • your violation of another person’s rights.

39. Governing Law and Disputes

The governing-law, informal-dispute-resolution, and venue provisions in the TrimQuote Terms of Service apply to these Payments Terms.

These Payments Terms are therefore governed by the laws of the State of Florida, subject to applicable law.

Before commencing formal litigation, you and TrimQuote agree to follow the informal dispute-resolution process described in the TrimQuote Terms of Service.

Subject to applicable law, proceedings that are not resolved informally must be brought in a state or federal court having jurisdiction in or serving Lake County, Florida.

40. Termination

You may stop using TrimQuote Payments subject to obligations arising from prior transactions.

Ending access to TrimQuote Payments does not eliminate:

  • completed payment records;

  • pending refunds;

  • refund-reconciliation activity;

  • disputes or chargebacks;

  • outstanding Stripe obligations;

  • applicable fees;

  • legal obligations; or

  • transaction-related matters that arose before termination.

Sections that by their nature should survive termination remain effective.

41. Entire Payments Agreement

These Payments Terms, together with:

  • the TrimQuote Terms of Service;

  • the TrimQuote Privacy Policy;

  • the TrimQuote Refund Policy where applicable;

  • Stripe’s applicable agreements; and

  • other payment-specific terms expressly presented to you,

govern your use of TrimQuote Payments.

Stripe’s agreements govern your separate relationship with Stripe.
